Limited liability companies (LLCs) have become a popular business entity choice for their flexibility, liability protection, and tax benefits. However, they also present challenges that may not make them the best choice for every business. In this CLE course, Caitlin Rieser will guide attendees through the life cycle of an LLC, from formation to dissolution, and explore key management considerations. The session will compare LLCs with other business structures, including corporations and partnerships, to provide attorneys with the tools needed to advise clients on entity selection and operational concerns effectively, and a comprehensive understanding of when an LLC is the right choice—and when it isn’t.
Learning Objectives:
1. Understand the LLC Formation Process: Identify key steps in forming an LLC, including state requirements, operating agreements, and filing considerations.
2. Analyze LLC Management Structures: Differentiate between member-managed and manager-managed LLCs and discuss governance best practices.
3. Compare LLCs with Other Entity Types: Evaluate the advantages and disadvantages of operating as an LLC versus a corporation, partnership, or sole proprietorship.
4. Recognize Key Tax Considerations: Explain pass-through taxation, self-employment tax implications, and potential tax planning strategies for LLCs.
5. Navigate LLC Dissolution: Understand the legal and financial implications of dissolving an LLC and the steps required for proper closure.
6. Advise Clients on Business Structure Selection: Provide strategic guidance on when forming an LLC is beneficial and when another entity type may be more appropriate.
